1. Agreement to Terms
By accessing or using the Taareef AI-powered Document Intelligence Platform ("Service"), a product of InfraNova L.L.C-FZ ("Company", "we", "us", "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these Terms, you must not use the Service.
2. Description of Service
Taareef provides a cloud-based platform for Universal Document OCR, Identity Verification, and Biometric Analysis. The Service includes, but is not limited to:
- Optical Character Recognition (OCR) for identity documents, passports, and receipts from 195+ countries in 40+ languages.
- Face verification and liveness detection.
- Document damage detection and transcription.
- Extraction of structured JSON data from documents.
- Related API services and support as specified in your selected plan.
3. Account Registration & Security
You must register for an account to access the Service. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
4. Service Plans, Credits, and Payment
- Plans: Service is offered under various plans: Free, Professional, and Enterprise.
- Credits: Usage of the Service is measured in credits. 1 (one) credit is consumed for: 1 document OCR (ID, passport, receipt), 1 face verification, or 1 additional service as defined in the API documentation.
- Zero-Cost Failures: Credits are only consumed for successful extractions/verifications. Documents that fail initial recognition and are sent to our training pipeline do not count towards your credit consumption.
- Payment: Professional and Enterprise plans require payment of fees as specified on the Pricing page or in your Order Form. Fees are non-refundable except as required by law or as explicitly stated in our 30-day money-back guarantee for the Professional plan (see Section 12). You authorize us to charge your chosen payment method for all applicable fees.
- Taxes: All fees are inclusive of taxes.
- Billing Cycles: Paid plans are billed on a recurring basis (monthly or annually, as selected at the time of purchase). Your billing cycle begins on the date you subscribe to a paid plan.
- Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current rate for your plan at each renewal. We will notify you of any price changes at least 30 days before they take effect.
- Payment Processing: Payments are processed by our third-party payment processor. By subscribing to a paid plan, you agree to the payment processor's terms of service. We do not store your full payment card details on our servers; all payment information is handled in accordance with PCI-DSS requirements by our payment processor.
- Failed Payments: If a payment fails, we will notify you and may retry the charge. If payment remains unsuccessful after reasonable attempts, we reserve the right to suspend or downgrade your account until the outstanding balance is resolved.
- Upgrades & Downgrades: You may upgrade or downgrade your plan at any time through your account dashboard. Upgrades take effect immediately, and you will be charged a pro-rated amount for the remainder of your current billing cycle. Downgrades take effect at the start of the next billing cycle; no partial refunds are issued for the current cycle.
- Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing cycle, and you will retain access to paid features until that date. No refunds are issued for the remaining period of a cancelled subscription, except as provided in Section 12.
5. Use of the Service & Acceptable Use
You agree not to misuse the Service. Prohibited activities include:
- Using the Service for any illegal purpose or to violate any laws, including data protection and privacy laws.
- Attempting to bypass, breach, or test the vulnerability of our security measures, including liveness detection spoofing.
- Using the Service to process documents or data without the necessary legal consent from the data subject.
- Reselling, sublicensing, or distributing the Service to third parties except as explicitly permitted in an Enterprise agreement.
- Uploading any content that contains viruses, malware, or any harmful code.
6. Data Processing & Ownership
- Your Data: You retain all rights to the documents, images, and data you submit to the Service ("Customer Data"). You grant InfraNova L.L.C-FZ a limited, worldwide, non-exclusive license to use, process, and store your Customer Data solely to provide and improve the Service.
- Continuous Learning: You acknowledge and agree that anonymized, unidentified document data from failures may be used to retrain and improve our AI models, as part of our "Zero-Cost Failures" and "Continuous Learning" features. No personally identifiable information (PII) from successful extractions is used for this purpose without explicit consent.
- Output Data: The structured data (e.g., JSON) extracted from your documents and delivered to you is your property.
- Our Technology: All rights, title, and interest in and to the Service, its underlying software, AI models, and technology ("Taareef Technology") remain the exclusive property of InfraNova L.L.C-FZ and its licensors.
7. API Use
If you use the Taareef API, your use is subject to these Terms and any additional API documentation we provide. You must not cause undue strain on the API or attempt to reverse engineer it.
8. Service Levels & Disclaimer
- Uptime SLA: We offer a 99.9% Uptime SLA for Professional plans and a 99.99% Uptime SLA for Enterprise plans, as specified.
- Accuracy: While we strive for 99.8% OCR accuracy, the Service is provided "as is" and "as available." We do not guarantee 100% accuracy or uninterrupted availability. You are responsible for verifying the accuracy of extracted data for critical use cases.
9. Confidentiality
Both parties agree to protect each other's confidential information with reasonable care and not to disclose it to third parties, except as necessary to perform under these Terms or as required by law.
10. Term and Termination
- Free Plan: We may terminate or suspend your Free plan account at any time, with or without cause.
- Paid Plans: The term for paid plans is as specified in your subscription (e.g., monthly, annual). Either party may terminate for material breach if not cured within 30 days of written notice.
- Effect of Termination: Upon termination, your right to access the Service ceases. We may delete your Customer Data after a reasonable period, as per our Data Retention Policy.
11. Limitation of Liability
To the maximum extent permitted by law, InfraNova L.L.C-FZ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Service. Our total aggregate liability for any claims under these Terms shall not exceed the total amount you paid to us in the 12 months preceding the claim.
12. Refund Policy
- 30-Day Money-Back Guarantee: Subscribers to the Professional plan may request a full refund of their first payment within 30 days of the initial subscription start date. This guarantee applies only to the first payment of a new subscription and not to subsequent renewals or Enterprise plans.
- How to Request a Refund: Contact our support team at [email protected] with your account email and reason for the request.
- Processing Time: Approved refunds are processed within 5-10 business days. Refunds are issued to the original payment method used for the transaction.
- Non-Refundable Items: The following are not eligible for refunds: (a) subscription renewals beyond the initial 30-day window, (b) Enterprise plan fees, which are governed by individual agreements, (c) unused credits remaining at the end of a billing cycle, and (d) any fees where the Service was used in violation of these Terms.
- Partial Refunds: In exceptional circumstances, we may issue partial refunds or credit adjustments at our discretion. Downgrading a plan mid-cycle does not entitle you to a pro-rated refund.
13. Compliance & Audits
You agree to use the Service in compliance with all applicable laws, including the EU General Data Protection Regulation (GDPR) where it applies to you, and to obtain all necessary consents for processing personal data through the Service. Enterprise customers may be subject to additional compliance obligations as set out in their agreement.
14. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes via the Service or by email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of them.
15. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the United Arab Emirates. Any disputes shall be resolved in the courts located in Dubai, United Arab Emirates.
